1. Introduction

These Terms & Conditions apply to all services and agreements between Roc Florit Consult (hereinafter “we”, “us” or “our”) and the client (hereinafter “Client” or “you”).

2. Definitions

In these Terms & Conditions, the following terms shall have the following meanings:

• “Consulting Services”: The services provided by Roc Florit Consult, as described in the agreement between Roc Florit Consult and the Client.
• “Client”: Any individual, organisation or entity using the services of Roc Florit Consult.
• “Fees”: The remuneration and costs applicable to the Consulting Services.

3. Applicability

These Terms & Conditions apply to all offers, agreements, invoices and other legal documents between Roc Florit Consult and the Client, unless otherwise agreed in writing.

4. Offers and agreements

4.1. All offers from Roc Florit Consult are non-binding, unless explicitly stated otherwise.

4.2. An agreement is concluded at the moment Roc Florit Consult confirms the assignment in writing or electronically.

5. Services

5.1. Roc Florit Consult shall perform the Consulting Services to the best of its ability, in accordance with the agreement.

5.2. The Client shall provide all necessary cooperation and required information to enable Roc Florit Consult to perform the Consulting Services.

6. Fees and payments

6.1. The Fees for the Consulting Services are defined in the agreement between Roc Florit Consult and the Client.

6.2. Payments must be made within 14 days after receipt of the invoice, unless otherwise agreed.

7. Intellectual property

7.1. All intellectual property rights relating to materials and work products created during the Consulting Services shall remain the property of Roc Florit Consult, unless otherwise agreed in writing.

8. Confidentiality

8.1. Both parties shall not disclose confidential information of the other party to third parties and shall take appropriate measures to safeguard its confidentiality.

9. Liability and limitations

9.1. The liability of Roc Florit Consult is limited to the amount paid for the Consulting Services.

10. Termination of agreement

10.1. Both parties have the right to terminate the agreement in accordance with the conditions agreed in the agreement.

11. Dispute resolution

11.1. In the event of a dispute, the parties shall first attempt to resolve it through mediation. If mediation fails, the dispute shall be submitted to the competent court.

12. Governing law and jurisdiction

12.1. These Terms & Conditions are governed by Belgian law, and any disputes shall be submitted to the courts of Brussels.

13. Amendments

13.1. Roc Florit Consult reserves the right to amend these Terms & Conditions. Updated Terms & Conditions shall become effective 5 working days after notification to the Client.

14. Miscellaneous

14.1. Any additional provisions and clauses agreed between Roc Florit Consult and the Client shall be included in the agreement.
